FAQs

Key questions

Who are the Swiss Structured Products Association

The Swiss Structured Products Association (SSPA) represents the interests of participants across Switzerland’s structured products industry. It promotes industry standards, transparency and understanding, while representing the sector with regulators, authorities and other stakeholders.

What is a Guernsey Protected Cell Company

A Guernsey Protected Cell Company (PCC) is a single legal entity containing separate cells, with the assets and liabilities of each cell legally segregated from those of the other cells. This makes PCCs particularly well suited to Issuer structures, allowing multiple investment products to be established efficiently within a single corporate framework.

What is a Guernsey Incorporated Cell Company

A Guernsey Incorporated Cell Company (ICC) comprises a parent company and separate incorporated cells, each of which is its own legal entity with its own assets and liabilities. This makes ICCs well suited to Issuer structures where multiple investment products can operate within a common framework while retaining separate legal identities, enabling the IC to enter into contracts in its own right at Cell level.

What are Intermediated Securities

Intermediated securities are investments held through a financial intermediary, such as a bank, broker or custodian, rather than being registered directly in the investor’s name. The intermediary records the investor’s interest and facilitates the holding, transfer and administration of the securities.

What is Securitisation

Securitisation can involve placing an asset or investment within a dedicated legal vehicle and issuing securities linked to that underlying investment. Albecq establishes and administers Guernsey Issuer structures that provide the corporate framework for this purpose.

Where will the investment receive its ISIN

Each security issued through an Albecq Issuer structure receives a unique International Securities Identification Number (ISIN). Structures administered by Albecq have issued securities admitted to trading on the SIX Swiss Exchange and Vienna Stock Exchange (Wiener Börse), as well as securities issued and settled through Euroclear.

What is a Structured Product

A structured product is an investment whose return is linked to the performance of an underlying asset, investment strategy or other defined reference.

Albecq establishes and administers Guernsey Issuer structures through which structured products can be issued, including AMCs, Trackers, CLNs and bespoke solutions.

What is an Issuer

An Issuer is the legal entity that issues a security to investors. The terms of that security determine how its value and returns relate to the underlying investment, asset or strategy.

Albecq establishes and administers Guernsey Issuer structures through which securities can be issued.

The Guernsey Advantage

A jurisdiction built for Issuer Structures

Guernsey combines sophisticated cell company legislation with a highly competitive cost base, making it particularly well suited to Issuer Structures.

The result is an efficient and scalable platform supported by the legal, regulatory and professional infrastructure of an established international finance centre.
